Terms & Conditions - KYRIX TECHNOLOGIES PRIVATE LIMITED

1. Definitions

“KYRIX TECHNOLOGIES,” “we,” “us,” or “our” refers to KYRIX TECHNOLOGIES PRIVATE LIMITED, a registered private limited company operating in India.

“Client,” “you,” or “your” refers to the individual or organization engaging our services.

“Services” refers to all development services provided by KYRIX TECHNOLOGIES including but not limited to website development, web applications, iOS app development, Android app development, custom software solutions, and AI integration services.

“Project” refers to the specific work agreed upon in a written contract, proposal, or statement of work between KYRIX TECHNOLOGIES and the Client.

“Deliverables” refers to the final code, applications, websites, or other materials produced by KYRIX TECHNOLOGIES as part of the agreed Services.

2. General Terms

Service Agreement

All services are provided based on a mutually agreed contract, proposal, or statement of work. The specific scope, timeline, deliverables, and payment terms will be outlined in the project documentation before work commences.

Project Scope

KYRIX TECHNOLOGIES will deliver services as specified in the agreed project scope. Any additional features, modifications, or changes requested beyond the original scope may be subject to additional charges and timeline adjustments.

Payment Terms

Payment terms will be specified in the project contract. Typical arrangements include milestone-based payments or upfront deposits. Final deliverables may be withheld until full payment is received unless otherwise agreed in writing.

Company Liability

KYRIX TECHNOLOGIES provides services with professional care and expertise. However, we are not liable for:

  • Third-party service failures (hosting providers, APIs, external integrations)
  • Data loss due to client negligence or third-party failures
  • Business losses or indirect damages resulting from service delays
  • Issues arising from client-provided content, data, or materials

Our total liability shall not exceed the total fees paid for the specific project in question.

3. Client Responsibilities

Cooperation and Communication

Clients agree to:

  • Provide timely feedback and approvals during project milestones
  • Supply all necessary content, credentials, and materials required for project completion
  • Designate a primary point of contact for project communication
  • Respond to requests for information within reasonable timeframes

Content and Materials

Clients are solely responsible for:

  • Accuracy and legality of all content provided to KYRIX TECHNOLOGIES
  • Ensuring they have rights to use any trademarks, logos, images, or content provided
  • Compliance with applicable laws and regulations in their industry and jurisdiction

4. Intellectual Property Rights

Client-Owned Content

All content, data, trademarks, and materials provided by the Client remain the Client’s property.

Project Deliverables

Upon full payment, the Client receives ownership of the final deliverables as specified in the project contract. This includes source code and design files unless otherwise stated.

Pre-Existing Materials

KYRIX TECHNOLOGIES retains ownership of:

  • Pre-existing code libraries, frameworks, and tools
  • Development methodologies and processes
  • Any proprietary technology created prior to the project

Portfolio Rights

KYRIX TECHNOLOGIES reserves the right to showcase completed projects in our portfolio, marketing materials, and case studies unless the Client explicitly requests confidentiality in writing.

5. Confidentiality

Both parties agree to maintain confidentiality of:

  • Proprietary business information
  • Technical specifications and architecture
  • Client data and user information
  • Any information marked as confidential

This obligation continues for 3 years after project completion unless otherwise specified.

6. Warranties and Support

Code Quality

KYRIX TECHNOLOGIES warrants that deliverables will:

  • Be free from critical bugs at the time of delivery
  • Function substantially as described in project specifications
  • Be developed using industry-standard practices

Support Period

Post-launch support terms will be specified in the project contract. Typical support periods range from 30-90 days for bug fixes related to original deliverables.

Third-Party Dependencies

KYRIX TECHNOLOGIES does not warrant or control third-party services, APIs, plugins, or platforms. Issues arising from third-party dependencies are outside our warranty scope.

7. Project Timeline

Estimated Timelines

Project timelines are estimates based on the agreed scope and client cooperation. Delays may occur due to:

  • Late client feedback or approvals
  • Scope changes or additional feature requests
  • Third-party service issues
  • Unforeseen technical challenges

Timeline Extensions

KYRIX TECHNOLOGIES will communicate any anticipated delays promptly. Timeline extensions will be agreed upon mutually and documented in writing.

8. Termination

Client Termination

Clients may terminate projects with written notice. In such cases:

  • Payment is due for all completed work up to the termination date
  • Partial deliverables may be provided based on work completed
  • No refunds for completed milestones

KYRIX TECHNOLOGIES Termination

We reserve the right to terminate projects if:

  • Payment terms are not met
  • Client fails to provide necessary cooperation
  • Client requests illegal or unethical work

9. Limitation of Liability

KYRIX TECHNOLOGIES’ maximum liability is limited to the total project fees paid. We are not liable for:

  • Loss of profits or business opportunities
  • Data loss or corruption
  • Indirect, consequential, or punitive damages
  • Issues arising after the support period ends

10. Dispute Resolution

Any disputes will be resolved through:

  1. Good faith negotiation between parties
  2. Mediation if negotiation fails
  3. Arbitration or legal proceedings in accordance with Indian law

The jurisdiction for any legal matters shall be the courts of India.

11. Modifications to Terms

KYRIX TECHNOLOGIES reserves the right to update these Terms & Conditions. Clients will be notified of material changes. Continued engagement with our services after changes constitutes acceptance.

12. Governing Law

These Terms & Conditions are governed by the laws of India. KYRIX TECHNOLOGIES PRIVATE LIMITED operates under Indian jurisdiction and GST regulations.
